This document (as well as other documents mentioned herein) governs the terms and conditions under which this Website is used and the purchase or acquisition of products on it (hereinafter, Terms).

Activity

For the purposes of these Terms, it is understood that the activity that GOLDNRIFF develops through the Website includes:

High-quality clothing items, including but not limited to t-shirts, pants, dresses, jackets, and accessories, made from top-quality materials and designed to offer comfort, style, and durability.

Preliminary Information

In addition to reading these Terms, before accessing, browsing, and/or using this website, the User must have read the Legal Notice and the General Terms of Use, including the cookie policy and the privacy policy of GOLDNRIFF. By using this Website or by making and/or requesting the acquisition of a product through it, the User consents to be bound by these Terms and by all of the aforementioned, so if you do not agree with all of it, you should not use this Website.

It is also informed that these Terms could be modified. The User is responsible for consulting them each time they access, browse, and/or use the Website as those that are in force at the time of purchasing products will be applicable.

For any questions that the User may have in relation to the Terms, they can contact the owner using the contact details provided above or, where appropriate, using the contact form.

Definitions

In this document, the terms and expressions listed below will have the meaning attributed to them in this section, unless the context clearly indicates otherwise:

Seller: Refers to the commercial entity (GOLDNRIFF) that offers products for sale to consumers and users through its website or any other means of remote communication.
Buyer: Natural or legal person who purchases, uses, or enjoys as the final recipient the products offered by the Seller.
Consumer and User: In accordance with Spanish regulations, a consumer and user is understood as a natural or legal person who acts in a field unrelated to a business or professional activity. For the purposes of these General Terms of Purchase, Buyer will be considered synonymous with Consumer and User, unless otherwise specified.
Products: Movable goods that the Seller offers for sale on its website or through any other remote sales channel.
Website: Digital platform of the Seller through which Buyers can purchase products.
Contract: Sales agreement formalized between the Seller and the Buyer of the offered products, subject to these General Terms of Purchase.
Order: Request made by the Buyer to purchase one or more products through the Website or any other means provided by the Seller.
Price: Monetary amount established by the Seller in exchange for the delivery of one or more products, which must be paid by the Buyer.
Fee: Additional cost that may be applied for complementary services such as product shipping, payment management, or any other additional service that may be offered by the Seller or third parties.
Sabadell Payment Services: Electronic payment methods provided by Banco Sabadell, S.A. or its subsidiaries, which the Buyer can use to make the payment of the Price and the corresponding Fees.
Mail: Postal and parcel delivery service through which purchased products will be delivered to the Buyer.
Right of Withdrawal: Buyer's right to cancel the sales contract within a legally established period, without the need for justification and without any penalty.
Warranty: Seller's commitment to respond for defects or non-conformities of the products that manifest within a certain period from delivery.
Personal Data: Any information relating to an identified or identifiable natural person that the Buyer provides to the Seller in the purchase process or through any interaction with the Website.
Intellectual and Industrial Property: Rights that protect the creations of the human intellect, such as patents, trademarks, industrial designs, copyrights, and other similar rights recognized by law.

The definitions included in this section are essential for the correct interpretation and understanding of the General Terms of Purchase and will be applicable throughout the contractual relationship between the Seller and the Buyer.

1. The User

Access, browsing, and use of the Website confer the condition of user (hereinafter referred to, individually as User or collectively as Users), so all the Conditions established here, as well as their subsequent modifications, are accepted from the moment you start browsing the Website, without prejudice to the application of the corresponding legally binding regulations as appropriate.

The User assumes responsibility for the proper use of the Website. This responsibility will extend to:

Using this Website only to make legally valid inquiries and purchases or acquisitions.
Not making any false or fraudulent purchases. If reasonably considered that a purchase of this nature has been made, it could be canceled, and the relevant authorities would be informed.
Providing truthful and lawful contact details complying with data protection regulations regarding the accuracy of the data (art. 5.1 GDPR and art. 4 LOPDGDD), such as email address, postal address, and/or other data (see Legal Notice and General Terms of Use).

The User declares to be over 18 years old and to have the legal capacity to enter into contracts through this Website. Additionally, to be over 14 years old for the processing of their data.

The Website is primarily aimed at Users residing in Spain. GOLDNRIFF does not ensure that the Website complies with the laws of other countries, either totally or partially. GOLDNRIFF declines all responsibility that may arise from such access, as well as does not guarantee shipments or the provision of services outside Spain.

The User can formalize, at their choice, with GOLDNRIFF the sales contract of the desired products in any of the languages in which these Conditions are available on this Website.

2. Purchase Process

Users can buy on the Website by the means and forms established. They must follow the online purchase and/or acquisition procedure of the Website, during which several products can be selected and added to the cart, basket, or final shopping space and, finally, click on: "Buy and pay".

The User must also fill in and/or check the information that is requested at each step, although, during the purchase process, before making the payment, data can be modified. Additionally, before "Finalizing your purchase" you must accept our Privacy Policy.

Subsequently, the User will receive an email confirming that GOLDNRIFF has received their order or purchase request, i.e., the order confirmation. And, where appropriate, they will be informed, equally, by email when their purchase is being shipped.

Once the purchase procedure has been completed, the User consents that the Website generates an electronic invoice that will be sent to the User via email.

The User acknowledges being aware, at the time of purchase, of certain specific conditions of sale that concern the product in question and that are shown alongside its presentation or, where appropriate, image on its Website page, indicating, by way of example but not limited to, and depending on each case: name, price, components, weight, quantity, color, product details, or characteristics, mode in which they will be carried out and/or cost; and acknowledges that the execution of the purchase order or acquisition materializes the full and complete acceptance of the specific conditions of sale applicable to each case.

The communications, purchase orders, and payments involved in transactions conducted on the Website could be archived and maintained in GOLDNRIFF's computerized records to constitute a means of proof of transactions, in any case, respecting reasonable security conditions and applicable laws and regulations in this regard, particularly attending to Regulation (EU) 2016/679 of the European Parliament and of the Council, of 27 April 2016, concerning the protection of natural persons regarding the processing of personal data and the free movement of such data (GDPR) and Organic Law 3/2018, of 5 December, on the Protection of Personal Data and guarantee of digital rights, and to the rights of Users according to the privacy policy of this Website.

The User can track their order through the tracking number provided through the Website and/or platform, using the reference number provided in the purchase confirmation.

3. Availability

All purchase orders received by GOLDNRIFF through the Website are subject to product availability and/or that no circumstance or cause of force majeure affects their supply. If there are difficulties regarding the supply of products or there are no products in stock, GOLDNRIFF undertakes to contact the User and reimburse any amount that may have been paid for the amount or if the User prefers to change it for another item of the same amount. This will also be applicable in cases where the provision of a service becomes unrealizable.

4. Prices and Payment

The prices displayed on the Website are final, in Euros (€), and include taxes, unless by legal requirement, especially concerning VAT, a different issue is indicated and applied.

Shipping costs will be calculated based on the total purchase, and it is possible that, depending on its amount, an additional shipping cost will be applied. This additional cost, if applicable, will be clearly specified on the Website. GOLDNRIFF manages the delivery and/or shipping of the products through GLS.

In no case will the Website add additional costs to the price of a product or service automatically, but only those that the User has selected and chosen voluntarily and freely.

Prices may change at any time, but possible changes will not affect orders or purchases concerning which the User has already received an order confirmation.

The accepted means of payment will be: Credit or debit card, without prejudice to the establishment of other payment methods depending on the needs of the market and/or GOLDNRIFF Users.

Credit cards will be subject to checks and authorizations by the issuing banking entity of the same, if said entity does not authorize the payment, GOLDNRIFF will not be responsible for any delay or non-delivery and will not be able to formalize any contract with the User.

Once GOLDNRIFF receives the purchase order from the User through the Website, a pre-authorization will be made on the corresponding card to ensure there are sufficient funds to complete the transaction. The charge on the card will be made at the time the User is sent the shipping confirmation.

In any case, by clicking on "Buy and pay" the User confirms that the payment method used is theirs.

The acceptance of these General Terms of Purchase implies conformity with the prices and tariffs established for the products and services offered, except in cases of typographical or computer error mentioned above.

5. Delivery

In cases where it is appropriate to make the physical delivery of the good, deliveries will be made within the following territory: Spain (Peninsula and Balearic Islands), although they can also be made outside this territory. The delivery of products purchased by the User will be made through the GLS service, the operator designated for the distribution and delivery of shipments corresponding to purchases made under these Conditions.

Except in cases where unforeseen or extraordinary circumstances or, where appropriate, those arising from the personalization of products, the purchase order consisting of the products listed in each purchase confirmation will be delivered within the period indicated on the Website according to the shipping method selected by the User and, in any case, within a maximum period of 50 calendar days from the date of order confirmation.

If for any reason attributable to GOLDNRIFF it cannot meet the delivery date, it will contact the User to inform them of this circumstance and, the User may choose to proceed with the purchase establishing a new delivery date or cancel the order with a full refund of the price paid. In any case, home deliveries are made on working days.

If it is impossible to deliver the order due to the User's absence, the order could be returned to the warehouse and/or GLS pickup point. However, the carrier would leave a notice explaining where the order is and how to arrange a new delivery.

If the User is not going to be at the delivery location during the agreed time slot, they must contact Correos to arrange delivery another day.

If 50 days pass since your order is available for delivery, and it has not been delivered for reasons not attributable to GOLDNRIFF, GOLDNRIFF will understand that the User wishes to withdraw from the contract, and it will be considered resolved. As a consequence of the resolution of the contract, all payments received from the User will be refunded, except for the additional costs resulting from the User's choice of a different delivery method other than the least expensive ordinary delivery method offered by the Website, without any undue delay and, in any case, within a maximum period of 14 calendar days from the date on which the contract is considered resolved.

However, the User should be aware that the transport resulting from the resolution may have an additional cost that may be passed on to them.

For the purposes of these Conditions, it will be understood that delivery has occurred or that the order has been delivered at the time when the User or a third party indicated by the User acquires material possession of the products, which will be evidenced by the signing of the receipt of the order at the agreed delivery address.

Any risks that may arise from the products will be borne by the User from the time of delivery. The User acquires ownership of the products when GOLDNRIFF receives full payment of all amounts due concerning the purchase or acquisition made, including shipping costs, or at the time of delivery, if this occurs at a later time than the receipt in full of the amount subject to payment by GOLDNRIFF.

In accordance with the provisions of Law 37/1992, of December 28, on Value Added Tax (VAT), purchase orders for delivery will be understood to be located within the territory of application of Spanish VAT if the delivery address is in Spanish territory except for the Canary Islands, Ceuta, and Melilla. The applicable VAT rate will be the legally in force at any given time depending on the specific item in question.

6. Technical Means for Error Correction

It is brought to the User's knowledge that in case they detect an error when entering necessary data to process their purchase request on the Website, they can modify them by contacting GOLDNRIFF through the contact spaces provided on the Website, and, where appropriate, through those provided for contacting customer service, and/or using the contact details provided in the first clause (General Information). These details could also be rectified by the User through their personal login space on the Website.

In any case, the User, before clicking on "Buy and pay," has access to the space, cart, or basket where their purchase requests are noted, and they can make modifications.

Similarly, the User is referred to consult the Legal Notice and General Terms of Use and, in particular, the Privacy Policy to gather more information on how to exercise their right to rectification as established in Regulation (EU) 2016/679 of the European Parliament and of the Council, of April 27, 2016, regarding the protection of natural persons concerning the processing of personal data and the free movement of such data (GDPR) and in Organic Law 3/2018, of December 5, on Personal Data Protection and guarantee of digital rights.

7. Returns

In cases where the User purchases products on or through the Website, they have a series of rights, as enumerated and described below:

Right of Withdrawal

The User, as a consumer and user, makes a purchase on the Website and, therefore, has the right to withdraw from said purchase within 14 calendar days without the need for justification.

This withdrawal period will expire 14 calendar days from the day the User or a third party authorized by them, other than the carrier, acquired material possession of the goods purchased on the GOLDNRIFF Website or in the case that the goods that make up their order are delivered separately, 14 calendar days from the day the User or a third party authorized by them, other than the carrier, acquired material possession of the last of those goods that made up a single purchase order, or in the case of a service contract, 14 calendar days from the day of the contract celebration.

To exercise this right of withdrawal, the User must notify their decision to GOLDNRIFF. They may do so, where appropriate, through the contact spaces provided on the Website.

The User, regardless of the means they choose to communicate their decision, must clearly and unequivocally express their intention to withdraw from the purchase contract. In any case, the User can use the model withdrawal form that GOLDNRIFF makes available to them as an annex to these Conditions, but its use is not mandatory.

To comply with the withdrawal period, it is sufficient that the communication expressing unequivocally the decision to withdraw is sent before the corresponding period expires.

In case of withdrawal, GOLDNRIFF will reimburse the User for the payments received and/or the exchange for any product of similar price, excluding shipping costs and with the exception of additional costs chosen by the User for a different shipping method than the least expensive one offered on the Website without undue delay and, in any case, no later than 14 calendar days from the date on which GOLDNRIFF is informed of the User's decision to withdraw.

GOLDNRIFF will refund the User using the same payment method used by the User to make the initial purchase transaction. This refund will not generate any additional cost to the User. However, GOLDNRIFF may withhold said refund until it has received the products or items of the purchase, or until the User presents proof of their return, whichever condition is met first.

And must do so without undue delay and, in any case, no later than 14 calendar days from the date on which GOLDNRIFF was informed of the withdrawal decision.

The User acknowledges being aware that they will have to bear the direct cost of returning (transportation, delivery) the goods, if any. Additionally, they will be responsible for the decrease in the value of the products resulting from handling other than what is necessary to establish the nature, characteristics, and functioning of the goods.

The User acknowledges knowing that there are exceptions to the right of withdrawal, as set out in Article 103 of Royal Legislative Decree 1/2007, of November 16, which approves the revised text of the General Law for the Defense of Consumers and Users and other complementary laws. For example, but not limited to, this would be the case for: personalized products; products that can deteriorate or expire quickly; CDs/DVDs of music or video without their packaging, as sealed in the factory; products that for hygiene or health reasons are sealed and have been unsealed after delivery; supply of digital content without physical support.

In any case, no refund will be made if the product has been used beyond the mere opening of it, of products that are not in the same condition in which they were delivered including the original packaging in perfect condition or that have suffered any damage after delivery.

Additionally, products must be returned using or including all their original packaging, instructions, and other documents that may accompany them, as well as a copy of the purchase invoice.

Return of defective products or error in shipment

These are all cases in which the User considers that, at the time of delivery, the product does not conform to what was stipulated in the contract or purchase order, and therefore should contact GOLDNRIFF immediately and inform them of the non-conformity (defect/error) using the same means or using the contact details provided in the previous section (Right of Withdrawal).

The User will then be informed on how to proceed with the return of the products, and these, once returned, will be examined, and the User will be informed within a reasonable period if a refund or, where appropriate, replacement of the same proceeds.

The refund or replacement of the product will be carried out as soon as possible and, in any case, within 15 days from the date we send you an email confirming that the refund or replacement of the non-conforming item proceeds.

The amount paid for products returned due to a defect, when it really exists, will be refunded in full, excluding delivery costs and any costs incurred by the User for the return. The refund will be made by the same payment method that the User used to pay for the purchase.

In any case, the rights recognized in the current legislation for the User as a consumer and user will always apply.

Warranty

The User, as a consumer and user, enjoys warranties on the products purchased through this Website, as legally established for each type of product.

In this sense, it is understood that the products are in conformity with the contract provided that: they conform to the description made by GOLDNRIFF and possess the qualities presented therein; are fit for the uses to which products of the same type are ordinarily destined; and present the usual quality and performance of a product of the same type and which can be fundamentally expected of the same. When this is not the case with regard to the products delivered to the User, the User must proceed as indicated in the section Return of defective products or error in shipment. However, some of the products sold on the Website could present non-homogeneous characteristics as long as these derive from the type of material with which they have been manufactured, and which will, therefore, be part of the individual appearance of the product, and will not be a defect.

8. Limitation of Liability

Unless otherwise provided by law, GOLDNRIFF will not accept any liability for the following losses, regardless of their origin:

Any losses that were not attributable to any breach on their part;
Business losses (including lost profits, revenue, contracts, anticipated savings, data, goodwill, or unnecessary expenses incurred); or
Any other indirect losses that were not reasonably foreseeable by both parties at the time the sales contract of the products was formalized between both parties.

Likewise, GOLDNRIFF also limits its liability in the following cases:

GOLDNRIFF applies all measures concerning providing a faithful display of the product on the Website, however, it is not responsible for the minimal differences or inaccuracies that may exist due to lack of screen resolution, or problems of the browser used or others of this nature.
GOLDNRIFF will act with the utmost diligence to make available to the company in charge of transporting the product the object of the purchase order. However, it is not responsible for damages resulting from a malfunction of the transport, especially for causes such as strikes, roadblocks, and, in general, any other sector-related causes, which result in delays, losses, or thefts of the product.
Technical failures that due to fortuitous causes or otherwise, prevent a normal operation of the service through the internet. Lack of availability of the Website for maintenance reasons or others, which prevents the availability of the service. GOLDNRIFF puts all means at its disposal for the purpose of carrying out the process of purchase, payment, and shipment/delivery of the products, however, it is exempt from liability for causes that are not attributable to it, fortuitous event, or force majeure.
GOLDNRIFF will not be liable for the misuse and/or wear and tear of the products that have been used by the User. At the same time, GOLDNRIFF will not be liable for an erroneous return made by the User. It is the User's responsibility to return the correct product.
In general, GOLDNRIFF will not be responsible for any breach or delay in the fulfillment of any of the obligations assumed, when it is due to events that are beyond its reasonable control, that is, due to force majeure, and this may include, but is not limited to:

Strikes, lockouts, or other industrial actions.
Civil commotion, riot, invasion, terrorist threat or attack, war (declared or not), or threat or preparation for war.
Fire, explosion, storm, flood, earthquake, subsidence, epidemic, or any other natural disaster.
Impossibility of using trains, ships, aircraft, motor transport, or other means of transport, public or private.
Impossibility of using public or private telecommunications systems.
Acts, decrees, legislation, regulations, or restrictions of any government or public authority.

In this way, the obligations will be suspended during the period that the cause of force majeure continues, and GOLDNRIFF will have an extension in the period to fulfill them for a time equal to that during which the cause of force majeure continues. GOLDNRIFF will put all reasonable means to find a solution that allows it to fulfill its obligations despite the cause of force majeure.

9. Written Communications and Notifications

By using this Website, the User agrees that most communications with GOLDNRIFF will be electronic (email or notices posted on the Website).

For contractual purposes, the User consents to use this electronic means of communication and acknowledges that all contracts, notifications, information, and other communications that GOLDNRIFF sends electronically comply with the legal requirements of being in writing. This condition does not affect the rights recognized by law to the User.

The User can send notifications and/or communicate with GOLDNRIFF through the contact details provided in these Conditions and, where appropriate, through the contact spaces of the Website.

Likewise, unless otherwise stipulated, GOLDNRIFF may contact and/or notify the User by their email or at the postal address provided.

10. Waiver

No waiver by GOLDNRIFF of a specific right or legal action or the lack of requirement by GOLDNRIFF for strict compliance by the User of any of their obligations will imply a waiver of other rights or actions derived from a contract or the Conditions, nor will it exonerate the User from compliance with their obligations.

No waiver by GOLDNRIFF of any of these Conditions or rights or actions derived from a contract will take effect unless it is expressly stated to be a waiver and formalized and communicated to the User in writing.

11. Nullity

If any of these Conditions are declared null and void by a final resolution issued by a competent authority, the remaining clauses will remain in force, without being affected by such declaration of nullity.

12. Entire Agreement

These Conditions and any document expressly referred to herein constitute the entire agreement between the User and GOLDNRIFF concerning the object of sale and supersede any other pact, agreement, or promise previously agreed verbally or in writing by the same parties.

The User and GOLDNRIFF acknowledge having consented to the conclusion of a contract without having relied on any statement or promise made by the other party, except for what is expressly mentioned in these Conditions.

13. Data Protection

The information or personal data that the User provides to GOLDNRIFF in the course of a transaction on the Website, will be treated in accordance with what is established in the Privacy Policy. By accessing, browsing, and/or using the Website, the User consents to the processing of such information and data and declares that all information or data provided is truthful.

14. Applicable Law and Jurisdiction

Access, browsing, and/or use of this Website and the purchase contracts of products through it will be governed by Spanish law.

Any controversy, problem, or disagreement that arises or is related to access, browsing, and/or use of the Website, or with the interpretation and execution of these Conditions, or with the sales contracts between GOLDNRIFF and the User, will be submitted to the non-exclusive jurisdiction of the Spanish courts and tribunals.

15. Complaints and Claims

The User can submit their complaints, claims, or any other comments they wish to make to GOLDNRIFF through the contact details provided at the beginning of these Conditions (General Information).

Additionally, GOLDNRIFF has official complaint forms available to consumers and users, which they can request from GOLDNRIFF at any time, using the contact details provided at the beginning of these Conditions (General Information).

Furthermore, if a dispute arises from the conclusion of this purchase contract between GOLDNRIFF and the User, the User as a consumer can request an out-of-court settlement of disputes, in accordance with Regulation (EU) 524/2013 of the European Parliament and of the Council, of May 21, 2013, on online dispute resolution in consumer matters and amending Regulation (EC) 2006/2004 and Directive 2009/22/EC. 16. Modifications of the Conditions

GOLDNRIFF reserves the right to modify these General Terms of Purchase at any time. Any changes will take effect immediately after their publication on the corresponding website or notification to the User by any means that allows proof of receipt of the same.

By placing a new order after modifying the General Terms of Purchase, the User will be accepting the new conditions. If the User does not agree with the modifications made, they will have the right not to proceed with the purchase before the modifications take effect.

It is the User's responsibility to periodically review the General Terms of Purchase to be aware of any changes. The date of the last update will be indicated at the end of the General Terms of Purchase document to facilitate this review by the User.

The modifications will not have retroactive effect and will not affect contracts already perfected, unless both parties expressly agree otherwise and such changes do not result in harm to the consumer and user, in accordance with the Spanish regulations for the protection of consumers and users.

If any of the new conditions is declared null or unenforceable for any reason, the remaining conditions will continue to be valid and produce all their effects, provided that the null or unenforceable condition is not essential for the General Terms of Purchase and in such a way that the purpose pursued with them can subsist without the null or unenforceable condition.
